This is the Terms and Conditions of Use (“Contract”) that establishes a binding legal agreement between you and Caché Connections, Inc. (“Company”), an Illinois corporation. By using the Cache’ Connections Website and services (“Services”) you agree to be bound by these Terms and Conditions of Use (“Agreement”), whether or not you register as a member (“Member”). Your continued use of the Website and/or Services constitutes your acceptance of the Agreement. By using the Website, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all of the terms and conditions of this agreement (except for those terms and conditions that are specifically designated as applying only to registered members). You may print these terms out for your review and records. You have a right to receive this Contract in nonelectronic form. Membership
If you wish to become a Member and use the Services of Cache’ Connections, review these Terms and Conditions of Use and indicate your acceptance of this Agreement by following the instructions in the Registration process. By registering, you represent that you are at least eighteen (18) years of age. Minors may not become registered users.
Christian
Members represent that they are a Christian and are in agreement with the statements
of faith. Anyone who does not agree with the statements of faith understands that Membership to Cache’ Connections is not available. Members agree to always conduct themselves in a manner pleasing to God and to treat other Members as brothers and sisters in Jesus Christ.
Marriage
This service is designed for individuals looking for serious, life-long marriages. As such, you represent that you are legally single and are in search of a serious relationship centered on Christian beliefs with the ultimate goal of marriage. Legal separations do not constitute legally single. If a Member has been married previously, Member must be legally divorced to use the Services.
Exclusive Use
Your account is for your sole and exclusive use and may not be transferred or assigned to any other person or entity. The Services are for the personal use of individuals only and for the purposes it is designed to serve.
Criminal History
By requesting to use, registering to use, and/or becoming a Member of Cache’ Connections, you represent and warrant that you have never been convicted of a felony and are not required to register as a sex offender with any government entity. Cache’ Connections reserves the right to conduct a criminal background check, at any time and using available public records, to confirm your compliance with this subsection.
Criminal/Felony Background Checks
CACHE’ CONNECTIONS DOES NOT PERFORM CRIMINAL/FELONY BACKGROUND CHECKS ON ANY OF THE MEMBERS THAT USE THIS SERVICE. PLEASE TAKE APPROPRIATE SAFETY MEASURES TO INCREASE AWARENESS OF POSSIBLE RISKS ASSOCIATED WITH DATING. If a Member desires a criminal/felony background check on another Member, it is the full responsibility of the Member to contract any background checks from a third party. Cache’ Connections will not be held responsible for any information on background checks from a third party.
Sex Offender Registry Search
NO SEX OFFENDER REGISTRY SEARCH IS DONE ON MEMBERS WHO USE THIS SERVICE. PLEASE TAKE APPROPRIATE SAFETY MEASURES TO INCREASE AWARENESS OF POSSIBLE RISKS ASSOCIATED WITH DATING. If a Member desires a sex offender registrant search on another Member, it is the full responsibility of the Member to perform such search. Sex offender searches are available by searching the available updated sex offender registries in all fifty (50) states, Washington D.C. and Puerto Rico. Cache’ Connections will not be held responsible for any information obtained from a sex offender registrant searches.
Member Account, Password and Security
Member will create a username and account profile upon Registration. Member is responsible for all activities that occur under his or her username or account. Cache’ Connections may refuse to accept any Member ID for any reason. You may have only one Member ID. If you have reason to believe that your account is no longer secure, you may immediately change your password by updating the account information. Any unauthorized use of usernames or passwords should be reported by Contacting Us. Subject: Report Abuse Concerns
No Resale of Service
Member agrees to not reproduce, duplicate, copy, sell, trade or exploit for any commercial purposes any portion of the Service or access of the Service. Collecting Member information or email addresses of members or other information by electronic or other means is prohibited. Framing or linking to the Website without written permission from the Company is prohibited.
Grant of Rights
You grant the Company the right to share the information you have provided in your registration and questionnaire with all possible Member connections for as long as you remain a Member—photos included.
Termination
Either you or the Company can terminate your Membership at any time, for any reason by following the instructions in the “cancellation” page or by Member giving notice by email, fax or mail. Their will be no prorations or refunds of fees already paid except in the case of death as stated in “Death or Disability.” Cache’ Connections may, under certain circumstances and without prior notice, immediately terminate your membership effective on sending notice to you at the email address that was provided. Cache’ Connections is not required to provide notice prior to terminating membership. In the event your access to the Service is suspended due to the breach of this Agreement, you agree that all fees then paid to the Company by you shall be nonrefundable. The Company reserves the right to notify any Members with whom you have corresponded notice of your termination.
Photos
Photos are optional but recommended. Member’s two primary photos must meet specific requirements and all photos are subject to review by the Company. These must be recent photos taken of you (within 3 months) and must not misrepresent you in any way. No suggestive photos are allowed, including nudity, obscenity or inappropriate clothing.
Content Posted
• Cache’ Connections is not responsible for the use of any personal information that Member may choose to disclose on the Website. You are solely responsible for any materials (including profiles and photos) and messages on the Website or via the services, or transmitted to other Members. You will not include any personal information on your profile or questionnaire which would enable other Members to discover your identity. Please select carefully any information that you post on the Website or release to others.
• Member understands and agrees that Cache’ Connections has a right to view any and all messages posted on the Website. It is the Company’s sole discretion to remove any content that might be offensive or illegal or might violate the rights or harm or threaten the safety or reputation of other Members or the Company.
• The following is a partial list of the kind of content that is prohibited on the Website. Cache’ Connections reserves the right to investigate and take appropriate action against anyone who violates this provision, including without limitation, removing the offending communication from the Website and terminating the membership of the violators. It includes, but is not limited to content that:
• is offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual
• harasses or advocates harassment of another person
• exploits people in a sexual or violent manner
• involves the transmission of “junk mail,” “chain letters” or unsolicited mass mailing or “spamming”
• contains nudity, violence, or offensive subject matter or contains a link to an adult website
• contains any foul or obscene language, including reference to sex, sexual orientation, slander or gossip or disrespectful to God or others in any way.
• solicits personal information from anyone under 18
• contains restricted or password-only access pages, or hidden pages or images
• promotes information that is false, misleading or promotes illegal activities or
• is off-topic, meaningless, or otherwise intended to annoy or interfere with others'
enjoyment of the Site
• conduct that is abusive, threatening, obscene, defamatory or libelous
• promotes or enables unauthorized copying of another person’s copyrighted or other proprietary work, such as providing computer programs or links to them, providing information to circumvent manufacture-installed copy-protected devices or providing music or links to music files
• provides instructional information about illegal or potentially harmful activities such as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses
• solicits passwords or personal identifying information for commercial, unauthorized or unlawful purposes from other users
• involves commercial activities and/or sales without the Company’s prior consent such as contests, sweepstakes, barter, advertising or pyramid schemes
• includes a photograph that has been posted of another person without that person’s consent
Prohibited Activities
The following is a partial list of activities that are prohibited on the Website. Cache’ Connections reserves the right to investigate and take appropriate legal action against anyone who has misused the service, or behaved in a way which could be regarded as inappropriate, unlawful or illegal. Such activities include, but are not limited to:
• uploading, posting, emailing, transmitting or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment
• uploading, posting, emailing, transmitting or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful or racially, ethnically or otherwise objectionable
• harming minors in any way
• impersonating any person or entity
• forging headers or otherwise manipulating identifiers in order to disguise the origin of any Content transmitted through the Website
• uploading, posting, emailing, transmitting or otherwise make available any Content that Members do not have a right to make available under any law or under contractual or fiduciary relationships
• uploading, posting, emailing, transmitting or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party
• uploading, posting, emailing, transmitting or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes” or any other form of solicitation, except in those areas that are designated for such purpose. Any member breaching the terms of this agreement, as a reasonable estimation of such harm, you agree to pay Cache’ Connections $50 for each such unsolicited communication you send through the Services.
• intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national, or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law
• providing material support or resources to any organization designated by the United States government as a foreign terrorist organization pursuant to Section 219 of the Immigration and Nationality Act
• “stalking” or otherwise harassing another and/or
• collecting or storing personal data about other users in connection with the prohibited conduct and activities set forth above.
All Members must use the Website in a manner consistent with any and all applicable laws and regulations. Any knowledge of infringement of these rules or other improprieties should be reported here. Subject: Report any abuse concerns.
No Harassment of Cache’ Connections Employees or Agents
You will not harass, annoy intimidate or threaten any Cache’ Connections employees or agents engaged in providing any portion of the Services to you.
Unauthorized Users
It is possible that other Members or users (including unauthorized hackers) may post or transmit offensive or obscene materials on the Website and that you may be involuntarily exposed to such offensive and obscene materials. It is possible also for others to obtain personal information about you and the recipient may use the information to harass or injure you. Again, Cache’ Connections is not responsible for any personal information you post on the Website or disclose to others.
Disclosure By Law
You acknowledge and agree that Cache’ Connections may disclose information you provide if required to do so by law, at the request of a third party, or if we, in our sole discretion believe that disclosure is reasonable to a.) comply with the law, requests or orders from law enforcement, or any legal process, b.) protect or defend Cache’ Connections, or a third party’s rights or property, or c.) protect someone’s health or safety, such as when harm or violence against any person is threatened. Also, you agree Cache’ Connections reserves the right, but has no obligation, to disclose any information that is submitted to the Services that leads Cache’ Connections to suspect the information involves a party who may be the victim of abuse in any form.
Billing
Payment Method. The terms of Member’s payment will be based on Member’s Payment Method and may be determined by agreement between Member and his or her financial institution, credit card, or other provider of his or her chosen Payment Method. Member agrees to pay Cache’ Connections all charges at the prices then in effect for any use of the Website by Member using his or her Billing Account, and Member authorizes Cache’ Connections to charge Member’s chosen payment provider from the Service. Member agrees to make payment using that selected Payment Method. This does not waive Cache’ Connections’ right to seek payment directly from Member. Member’s charges may be payable in advance, in arrears, per usage, or as otherwise described when they initially subscribed to the Service. Cache’ Connections reserves the right to correct any billing errors or mistakes that it makes, even if it has already requested or received payment.
Current Information Required
Member must provide current, complete and accurate information for their billing account. Member must promptly update all information to keep their billing account current, complete and accurate and Member must promptly notify Cache’ Connections if the Payment Method is canceled or if they become aware of a potential breach of security.
Change in Amount Authorized
If the amount to be charged to Member’s Billing Account varies from the amount Member preauthorized, Member has the right to receive and Cache’ Connections shall provide, notice of the amount to be charged and the date of the charge at least ten days before the scheduled date of the transaction. Any agreement Member has with their Payment Method Provider will govern their use of your Payment Method. Member agrees that Cache’ Connections may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of any billing cycle.
Auto-renewal
Member’s monthly charges will be automatically extended for successive renewal periods of the same duration as the subscription term originally selected. Your membership will automatically renew 24 hours before expiration to enable uninterrupted use of the services. Upon termination, Member may use his or her subscription until the end of the monthly charged period. Member will not be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period. Member agrees that Cache’ Connections may continue charging for any use of the service under Member’s billing account unless they have terminated their contract for the services by following the instructions in the “cancellation” page, by contacting us or sending a written notice to the above address. Member must receive verification of cancellation through a confirmation of termination email by Cache’ Connections.
Contests
Candidates for any contest sponsored by the Company are chosen by the Cache’ Connections staff and Cache’ Connections reserves all rights for this purpose. Members are subject to the rules of regulations which are set forth for each contest.
Links
This service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because Cache’ Connections has no control over such sites and resources, Member acknowledges and agrees that Cache’ Connections is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources. Member further acknowledges and agrees that Cache’ Connections shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use or in reliance on any such Content, goods or services available on or through any such site or resource.
Downloads
Any material downloaded or otherwise obtained through the use of the Service is accessed at Member’s own discretion and risk, and Member will be solely responsible for any damage to their computer system or loss of data that results from the download of any such material.
Advice and Information
No advice or information, whether oral or written, obtained by Member from Cache’ Connections, through the experts, or through any part of the Service shall create any warranty not expressly stated in this Contract. The advice, information and materials available from the Cache’ Connections Service is for information and educational purposes only and does not constitute psychological advice or services. Your reliance on such information obtained through Cache’ Connections is at your own risk.
Information Verification
Cache’ Connections may use various ways of verifying information that members have provided, including a third party service. Cache’ Connections does not claim that any of these attempts to verify identity are foolproof and Cache’ Connections cannot be held liable for any identity verification methods or results.
Communication
We may use your email address to send you messages notifying you of important changes to the Services or special offers. Further, we may contact you by telephone if you voluntarily provide us with your telephone number, in order to communicate with you regarding the Services. If you do not want to receive such email messages or telephone calls, you have an opportunity to notify us with an opt-out message by contacting us. Subject: Unsubscribe
Dealings with Advertisers
Member’s correspondence or business dealings with or participation in promotions of advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between the Member and such advertisers. Member agrees that Cache’ Connections shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.
Death or Disability
If you die or become disabled during the term of the Contract, you or your estate shall be liable for only that portion of the charges allocable to the time before the death or disability. The Company shall have the right to require and verify reasonable evidence of the death or disability. Disability means a condition which precludes you from physically using the service during the term of disability and the condition is verified in writing by a physician designated and remunerated by you. Written verification from the physician must be presented to the Company. If the physician determines that the duration of the disability will be less than six (6) months, Company may extend the term of the contract for a period of six (6) months at no additional charge to you in lieu of cancellation. If you have prepaid any amount for the service, so much of the amount prepaid that is allocable to services that you have not received, shall be promptly refunded to your representative. Notice of cancellation must be in writing and delivered by certified or registered mail to Caché Connections, Inc., 3420 Veteran’s Drive #395, Pekin, IL 61554. All refunds shall be made within 30 days of receipt by the Company of the cancellation notice.
Accuracy
You agree that all information that you provide to the Company about yourself as prompted by the Company registration forms and questionnaire is truthful, accurate, and complete.
Services Expectations and Warranties
The Company does not guarantee, or make any representation as to the accuracy of a Member’s information. We do not guarantee that any relationship or communication will result from the services the Company provides. Your membership fees are used as remuneration for the Company providing you with viable individuals in hope of forming a relationship. Cache’ Connections makes no guarantees, either express or implied, regarding your ultimate compatibility with individuals you meet through the service.
Geographic Limitations
You will only use the Services in a manner consistent with this Agreement and any and all applicable local, state, national and international laws and regulations, including, but not limited to, United States export control laws. You are not located in, under the control of, or a national or resident of any country which the United States has a.) embargoed goods, b.) identified as a “Specially Designated National, or c.) placed on the Commerce Department’s Table of Deny Orders. Registration for, and use of, the Services are void where prohibited. To the extent that the Services are not legal in your jurisdiction, you many not use the Services. The Services may not be used where prohibited by law.
Safety
You are solely responsible for your interactions with the connections or members. You understand that the Company makes no representations or warranties as to the conduct of members or their compatibility with any current or future clients. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICES PROVIDED BY THE COMPANY, INCLUDING WITHOUT LIMITATION, BODILY INJURY, DEATH, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER REGISTERED CLIENTS OF THIS SERVICE OR PERSONS YOU MEET THROUGH THIS SERVICE. EVEN IF THE COMPANY KNOWS OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, UNDER NO CIRCUMSTANCES WILL THE COMPANY AGGREGATE LIABILITY, ON ANY FORM OF ACTION WHATSOEVER IN CONNECTION WITH THIS AGREEMENT, EXCEED THE PRICE PAID BY YOU FOR YOUR ACCOUNT. The Company urges you to take reasonable precautions in all of your interactions with clients of the service.
Complaints
To resolve a complaint regarding the Company’s service, you should first contact us. Subject: Report Any Abuse Concerns. Customer Service is available by calling 309-550-5580.
Privacy Policy
The Company will not use the information collected to share, sell, or distribute in any way or form with other entities online or offline. The personal information is stored in a protected database and is used solely for purposes of identification, billing disputes, verification, and/or authentication. The Company will not sell or share your demographic information with any third party. If you choose to accept any offers by third-party advertisers made through Cache’ Connections, the Company may supply the advertiser with information you provided to the Company, including billing information.
If you are located outside of the United States, please note that the information that you provide is being sent to the United States. By becoming a member of the Service, you consent to your data being sent to the United States and to such other third parties and jurisdictions as may be involved in the provision and operation of the Service.
Proprietary Rights
Cache’ Connections owns and retains all proprietary rights in the Website and the Service. The Services contains the copyrighted material, trademarks, and other proprietary information of Cache’ Connections and its licensors. Except for that information which is in the public domain, or for which you have been given written permission, you may not copy, modify, publish, transmit, distribute, perform, display or sell any such proprietary information.
Disclaimer of Warranties
YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES OF THE COMPANY IS AT YOUR SOLE RISK. NEITHER THE COMPANY NOR ANY OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS WARRANTS THAT THE COMPANY WEBSITE WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE COMPANY’S WEBSITE, INCLUDING THE INTERACTIVE FORMS, OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE COMPANY MAKES NO WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE SERVICES PROVIDED BY THE COMPANY OR AS TO THE TIMELINESS, SEQUENCE, ACCURACY, AUTHORITY, COMPLETENESS, USEFULNESS, NONINFRINGEMENT, RELIABILITY, AVAILABILITY, OR SUBSTANCE OF ANY CONTENT, INFORMATION, SERVICE, OR TRANSACTION PROVIDED THROUGH THE COMPANY. THE SERVICES PROVIDED BY THE COMPANY ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THOSE OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR INDIRECT DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SERVICE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OR CORRUPTION OF DATA OR PROGRAMS, SERVICE INTERRUPTIONS AND PROCUREMENT OF SUBSTITUTE SERVICES.
The Company makes no representations or warranties as to the conduct of such individuals or their compatibility with any current or future Registered Members. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICE, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS.
Indemnify
You will defend, indemnify, and hold harmless Caché Connections, its officers, managers, directors, employees, agents, attorneys and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of use of the Company’s services, including, without limitation, (i) any breach by you of this Contract; (ii) any allegation that any materials that you submit to the Company infringe or otherwise violate the copyright, trademark, trade secret, or other intellectual property or other rights of any third party and/or (iii) any other activities in connection with your use of the services. This indemnity shall be applicable without regard to the negligence of any party, including, without limitation, any indemnified person. This provision shall survive termination of this Contract.
Illinois Law
Illinois law (regardless of conflict of law principles) shall govern this Contract, and that any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the federal and state courts in the Central District of Illinois, other than for acts to enforce any order or judgment entered by such courts.
Disputes
In the event of any dispute or controversy arising out of or relating to this Contract, the parties agree to exercise their best efforts to resolve the dispute as soon as possible. The parties shall, without delay, continue to perform their respective obligations under this Contract which is not affected by the dispute. Any controversies or disputes arising out of or relating to this Contract shall be resolved by binding arbitration in accordance with the then current Commercial Arbitration Rules of the American Arbitration Association. The parties shall endeavor to select a mutually acceptable arbitrator. In the event the parties are unable to agree to such a selection, each party will select an arbitrator and the arbitrators in turn shall select a third arbitrator. The arbitration shall take place in Peoria County, Illinois, or location otherwise mutually agreed upon by the parties. Should action not take place within 60 days to find and establish an arbitrator, the Company shall be entitled to take legal action in the appropriate state or federal court.
Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH OF THE PARTIES HERETO KNOWINGLY AND IRREVOCABLY WAIVES ALL RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR ANY OF THE TRANSACTIONS CONTEMPLATED HEREBY.
Attorney’s Fees
The parties agree that the prevailing party in any dispute resolution proceedings related to this Contract shall be entitled to collect all of its costs, expenses, and reasonable attorneys’ fees from the other party. The same shall be true if one of the parties incurs costs, expenses, or attorneys’ fees in connection with the enforcement or the protection of its rights under this Contract, as a result of an uncured breach by the other party. The breaching party shall reimburse the other party for costs, expenses, and reasonable attorneys’ fees incurred after the expiration of the applicable cure period, regardless of whether or not the enforcement or the protection of the rights of the other party involved judicial proceedings, arbitration proceedings, or other formal dispute resolution proceedings.
Fair Meaning
This Contract and any other documents related to it will be interpreted in a fair and neutral manner, without favoring one party over the other. No provision of this Agreement or any other document related to it will be interpreted for or against either party because the provision was drafted by that party, or it’s legal representative.
Third Party Beneficiary
The parties agree to look solely to each other with respect to the performance of this Agreement. This Agreement and each and every provision hereof and the other Contract Documents and each and every provision thereof are for the exclusive benefit of you and the Company and not for the benefit of any third party, and no third party shall be entitled to rely upon or enforce the terms of this Contract, or to be a third party beneficiary thereof, except to the extent expressly provided in this Contract.
Assignments
The Company has the right to assign any and all of its rights and duties under this Contract to any third party. At the election of the Company, if the Company’s obligations hereunder are assumed by a third party, the Company shall be relieved of any and all liability under this agreement.
Cancellations
You may cancel this Contract within 3 business days after the first business day after the Contract is signed by you, excluding Sundays and holidays, and all monies paid under this Contract shall be refunded. To cancel at this time, notice of cancellation must be in by phone to Cache’ Connections customer service 309-550-5580, or in writing and delivered by certified or registered mail to Caché Connections, Inc., at 3420 Veteran’s Drive #395, Pekin, IL 61554. All refunds shall be made within 30 days of receipt by the Company of the cancellation notice. Based solely on the Company’s discretion, the Company may terminate this Contract at any time, for any reason or no reason by providing you with written notice. It is solely within the Company’s discretion to determine that you have violated any section of this Contract. In the event that you have breached the Contract, the membership fees and the application fee paid to the Company on your behalf for services already rendered shall be non-refundable. Any returned fees will be refunded solely at the discretion of the Company.
Member Guarantees
The Company reserves the right to elect not to take you on as a Member.
Performance
The Company’s failure to insist upon or enforce strict performance of any provision of this Contract shall not be construed as a waiver of any provision or right.
Modification of Agreement
The Company may modify this agreement from time to time and such modifications shall be effective by posting the modifications on the Website. It is important that anyone on the Website review this Agreement regularly to ensure their knowledge of updates. You agree to be bound to any changes to this Agreement when you use the Website.
Complete Agreement
This Contract constitutes the entire agreement and understanding of the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and proposals, oral or written. The parties expressly acknowledge that they have not relied on any prior or contemporaneous oral or written representations or statements by the other party in connection with the subject matter of this Agreement except as expressly set forth herein. This Agreement may be amended or modified only by a subsequent agreement in writing signed by each of the parties and may not be modified by course of conduct.
